LIGHTHOUSE BETA PROGRAM AGREEMENT
Acrolinx agrees to allow Customer to test and evaluate the Lighthouse BETA (the “BETA Program”). The BETA Program is intended for evaluation purposes and not for production use, is not generally available, may contain bugs and errors, and may be subject to additional terms as set forth in any associated documentation.
This Beta Testing Agreement (“BTA”), is entered into by and between the company registering for the BETA Program (“Customer”) and Acrolinx GmbH, having offices at Invalidenstrasse 73, 10557 Berlin, Germany (“Acrolinx”). The effective date of this BTA is the date of acceptance via registration by Customer.
WHEREAS, Customer agrees that access to and use of the BETA Program services is subject to compliance with this BTA and either: i) the existing agreement in place between Customer and Acrolinx; or, ii) if no such agreement exists, Acrolinx’s Terms and Conditions located at https://www.acrolinx.com/end-users-terms-and-conditions/ (the “Agreement”); and
WHEREAS, the BETA Program includes access to the services as further described in the BETA Program brochure provided to Customer;
NOW THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties do hereby agree to the following terms:
- Public Content; no Personal Data. During the Beta Term (as defined below), Customer agrees: (a) to only use public and non-confidential content; and (b) that it will not input or provide any Personal Data when accessing the BETA Program services, for example when scoring or composing content. The restrictions outlined in this Section 1 shall not apply to Customer Content. Customer acknowledges that Acrolinx disclaims all express and implied warranties related to the use of Customer Content and shall have no liability for any damages arising out of such use.
- Feedback, Usage Data and Publicity: By participating in the BETA Program, Customer agrees that, regardless of whether or not Acrolinx formally requests it to do so, it will provide to Acrolinx reasonable comments, suggestions, data and feedback (collectively “Feedback”) regarding the BETA Program according to the feedback cadence described in the BETA Program documentation. Acrolinx may also collect data related to requests per API key along with metadata about the request (collectively “Usage Data”). For all Feedback and Usage Data, Customer shall grant Acrolinx a non-exclusive, worldwide, irrevocable, royalty free, fully paid-up rights to use such Feedback and Usage Data for product and service improvement. Customer also agrees to serve as a reference regarding the BETA Program or Acrolinx’s services generally upon reasonable request by Acrolinx according to Customer’s brand guidelines. Acrolinx may use Customer’s name and logos on Acrolinx’s website and in other Acrolinx marketing materials in accordance with Customer’s trademark guidelines.
- Term. Customer’s access to the BETA Program services shall commence on the date of Customer’s acceptance into the BETA Program, as communicated by Acrolinx to Customer, and shall run for an initial term of eight weeks (“Beta Term”). Unless otherwise terminated, the Beta Term shall automatically renew for one additional eight-week term. Customer may terminate the BETA Program at any time by notifying Acrolinx with seven (7) days’ prior written notice. Acrolinx reserves the right to suspend or remove Customer from the BETA Program at any time in its sole discretion. Acrolinx will attempt to contact Customer before any such suspension or removal.
- Fees. The BETA Program will be provided at no cost to the Customer for the duration of the Beta Term.
- Disclaimer: The BETA Program is still in the testing phase and is provided on an “as is” and “as available” basis and Acrolinx makes no warranties of any kind, express or implied. The BETA Program is believed to contain defects and one purpose of the BETA Program is to obtain Feedback on performance and the identification of defects. Customer is advised to use caution and not to rely in any way on the correct functioning or performance of the BETA Program.
- GDPR Subprocessors. Customer consents to Acrolinx engaging the Subprocessors provided at https://www.acrolinx.com/acrolinx-sub-processors/ as well as the following Subprocessor(s) to perform certain services, as described below:

Except as specified in this BTA, the Agreement shall remain unchanged and in full effect. In the event of a conflict between this BTA and the Agreement, this BTA takes precedence.
